Our Practice

Direct investment is no longer the only channel for foreign investors doing business in Vietnam.  Except for certain conditional industries, foreign investors are now allowed to acquire unlimited equity in the existing company. Private equity acquisition becomes more and more popular.

Besides private equity and shares in the existing licensed companies by individual or corporate investors, businessmen would also be able to purchase business and business assets.  The Law on Enterprises passed in 2005 also provides the legal framework for two entities merged together.

Merger and acquisition is a legal term indicating the sale and purchase of shares/equity or business and the merge of the two entities into one new entity.
